These Terms of Service ("Terms") constitute a legally binding agreement between you and Sky Network Pty Ltd ("SchoolWeb", "we", "us", or "our") regarding your access to and use of the SchoolWeb platform ("the Service").
By accessing, trialling, purchasing, or using SchoolWeb, you agree to be bound by these Terms. If you are accepting on behalf of a school or organisation, you represent and warrant that you are authorised to bind that entity to these Terms, and all references to "you" in these Terms refer to that entity.
SchoolWeb is a school website and operations platform that provides schools with tools for website management, content publishing, community communication, and school administration. Features available under the Service include, but are not limited to:
We may add, modify, or retire features from time to time. Material changes that affect existing contractual commitments will be communicated in accordance with clause 14.
School administrator accounts are created during onboarding and must be held by individuals who are authorised by the school or organisation to accept these Terms and manage the school's SchoolWeb environment. Administrators are responsible for all activity performed under accounts they create and manage.
Administrators may create accounts for staff members. Each staff member is responsible for maintaining the confidentiality of their credentials and must not share login details with others. Schools are responsible for promptly removing access when staff leave or change roles.
Schools may create accounts for students and parents as part of operating the platform. The school is responsible for ensuring that any required notices and consents are obtained before creating accounts for or collecting information from students and parents.
You must use the Service only for lawful educational and school-related purposes and in compliance with all applicable laws and regulations. You must not:
As the account holder, your school is responsible for:
Your school retains full ownership of all content, data, and materials you upload or create through the Service ("Your Content"). We do not acquire any ownership rights in Your Content by hosting it on the platform.
By uploading or publishing content to SchoolWeb, you grant us a non-exclusive, worldwide, royalty-free licence to host, process, store, transmit, display, and back up Your Content solely as necessary to provide, secure, and support the Service for your school. This licence terminates when you remove content or close your account, subject to any backup retention periods described in our Privacy Policy.
Student and parent data entered into or generated through SchoolWeb is controlled by the school. SchoolWeb processes this data as a service provider acting on the school's behalf. The school's obligations regarding this data are governed by our Privacy Policy.
Student work, submissions, and creative outputs uploaded to or generated through SchoolWeb remain the intellectual property of the student (or their parent/guardian for minors). Schools may access and use student work for educational and administrative purposes only. SchoolWeb does not claim ownership of student-created content and does not use it for marketing, training, or any purpose unrelated to providing the Service to the school.
The collection, use, storage, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, which forms part of these Terms. Schools are responsible for meeting their own consent, notice, and privacy policy obligations to their users under applicable law.
SchoolWeb includes optional AI-assisted features for content creation, page generation, and other administrative tasks. By enabling or using these features, you acknowledge that:
SchoolWeb is a self-hosted platform. When schools deploy SchoolWeb on their own infrastructure and enable AI features, the school is the data controller for AI processing and is responsible for selecting AI providers, configuring API credentials, and ensuring compliance with applicable data processing requirements. SchoolWeb's software is designed to minimise data sent to AI providers, but the school's choice of provider determines the ultimate data processing and retention behaviour.
Schools may cancel their subscription in accordance with the notice period and conditions set out in their service agreement or order form.
We may suspend or terminate your access to the Service with written notice if:
We will provide reasonable notice before termination except where immediate suspension is required to protect the security or integrity of the platform.
Except as required by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.
Nothing in these Terms is intended to exclude, restrict, or modify any rights or guarantees that cannot be excluded under the Competition and Consumer Act 2010 (Cth) or other applicable Australian Consumer Law.
To the maximum extent permitted by law, SchoolWeb and its directors, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with the Service or these Terms.
Our aggregate liability to you for all claims arising from or relating to the Service is limited to the total fees paid by your school to SchoolWeb in the 12 months immediately preceding the event giving rise to the claim.
These limitations do not apply to the extent that liability cannot be excluded or limited under applicable law, including liability under the Australian Consumer Law.
Your school agrees to indemnify, defend, and hold harmless Sky Network Pty Ltd, its officers, employees, and agents from and against any third-party claims, liabilities, losses, and expenses (including reasonable legal fees) arising from:
This indemnity does not apply to the extent that the claim arises from our own breach, negligence, or wilful misconduct.
We may update these Terms from time to time to reflect changes to the Service, applicable law, or our operations. For material changes, we will provide at least 30 days' notice by email or in-platform notification before the updated Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
If a material change is unacceptable to your school, you may terminate the subscription in accordance with clause 10.1 before the change takes effect.
These Terms are governed by and construed in accordance with the laws of Western Australia, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Western Australia for resolution of disputes arising from these Terms.
Before commencing any formal legal proceedings, each party agrees to attempt to resolve disputes informally by contacting the other party and engaging in good-faith negotiation for at least 30 days.
