Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sky Network Pty Ltd ("SchoolWeb", "we", "us", or "our") regarding your access to and use of the SchoolWeb platform ("the Service").

By accessing, trialling, purchasing, or using SchoolWeb, you agree to be bound by these Terms. If you are accepting on behalf of a school or organisation, you represent and warrant that you are authorised to bind that entity to these Terms, and all references to "you" in these Terms refer to that entity.

2. Description of Service

SchoolWeb is a school website and operations platform that provides schools with tools for website management, content publishing, community communication, and school administration. Features available under the Service include, but are not limited to:

• Page builder and website publishing
• News and blog publishing
• Events calendar and management
• Canteen ordering and menu management
• Parent portal and communications
• House system and student recognition
• AI-assisted content tools
• Media library and document hub

We may add, modify, or retire features from time to time. Material changes that affect existing contractual commitments will be communicated in accordance with clause 14.

3. Account Registration

3.1 School Administrator Accounts

School administrator accounts are created during onboarding and must be held by individuals who are authorised by the school or organisation to accept these Terms and manage the school's SchoolWeb environment. Administrators are responsible for all activity performed under accounts they create and manage.

3.2 Staff Accounts

Administrators may create accounts for staff members. Each staff member is responsible for maintaining the confidentiality of their credentials and must not share login details with others. Schools are responsible for promptly removing access when staff leave or change roles.

3.3 Student and Parent Accounts

Schools may create accounts for students and parents as part of operating the platform. The school is responsible for ensuring that any required notices and consents are obtained before creating accounts for or collecting information from students and parents.

4. Acceptable Use

You must use the Service only for lawful educational and school-related purposes and in compliance with all applicable laws and regulations. You must not:

• Use the Service for unlawful, fraudulent, harmful, or abusive purposes
• Attempt to gain unauthorised access to any account, system, or data
• Interfere with the availability or normal operation of the Service
• Upload, transmit, or distribute malicious code or harmful content
• Reverse engineer, decompile, or disassemble the platform except as permitted by law
• Resell, sublicense, or misrepresent the Service as your own product without our prior written approval
• Use the Service to store or distribute content that infringes third-party intellectual property rights
• Scrape, harvest, or extract data from the Service by automated means

5. School Responsibilities

As the account holder, your school is responsible for:

• Configuring and managing user roles and permissions consistent with your school's policies
• Ensuring that required consent, disclosure, and notification obligations are met for all users including students and parents
• Obtaining informed parental or guardian consent before entering student personal information, and obtaining explicit opt-in consent before publishing identifiable student content (photos, names, work samples) on public-facing pages
• Reviewing and validating content, including AI-assisted outputs, before publication
• Maintaining appropriate governance of school processes that use the platform
• Notifying us promptly of any suspected security incidents or unauthorised access

6. Content Ownership

6.1 Your Content

Your school retains full ownership of all content, data, and materials you upload or create through the Service ("Your Content"). We do not acquire any ownership rights in Your Content by hosting it on the platform.

6.2 Service Licence

By uploading or publishing content to SchoolWeb, you grant us a non-exclusive, worldwide, royalty-free licence to host, process, store, transmit, display, and back up Your Content solely as necessary to provide, secure, and support the Service for your school. This licence terminates when you remove content or close your account, subject to any backup retention periods described in our Privacy Policy.

6.3 Student and Parent Data

Student and parent data entered into or generated through SchoolWeb is controlled by the school. SchoolWeb processes this data as a service provider acting on the school's behalf. The school's obligations regarding this data are governed by our Privacy Policy.

6.4 Student Work and Intellectual Property

Student work, submissions, and creative outputs uploaded to or generated through SchoolWeb remain the intellectual property of the student (or their parent/guardian for minors). Schools may access and use student work for educational and administrative purposes only. SchoolWeb does not claim ownership of student-created content and does not use it for marketing, training, or any purpose unrelated to providing the Service to the school.

7. Data Protection and Privacy

The collection, use, storage, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, which forms part of these Terms. Schools are responsible for meeting their own consent, notice, and privacy policy obligations to their users under applicable law.

8. AI Features

SchoolWeb includes optional AI-assisted features for content creation, page generation, and other administrative tasks. By enabling or using these features, you acknowledge that:

• AI features are optional and assistive only — they are not a substitute for human judgement
• AI outputs may contain errors, inaccuracies, or content that requires review before publication
• Staff are responsible for reviewing, editing, and approving any AI-generated content before it is published or shared
• Student personally identifiable information is excluded from requests sent to external AI providers
• School data is not used to train AI provider models
• Schools can disable AI features entirely through the platform settings at any time

SchoolWeb is a self-hosted platform. When schools deploy SchoolWeb on their own infrastructure and enable AI features, the school is the data controller for AI processing and is responsible for selecting AI providers, configuring API credentials, and ensuring compliance with applicable data processing requirements. SchoolWeb's software is designed to minimise data sent to AI providers, but the school's choice of provider determines the ultimate data processing and retention behaviour.

9. Fees and Billing

• Subscription pricing is agreed per school and set out in the school's service agreement or order form
• All fees are quoted in Australian dollars (AUD) unless stated otherwise
• Applicable taxes including GST are payable by the school in addition to stated fees
• Invoices are payable within the timeframe specified in your service agreement
• We reserve the right to suspend access to the Service for accounts with overdue invoices after providing reasonable written notice

10. Termination

10.1 By School

Schools may cancel their subscription in accordance with the notice period and conditions set out in their service agreement or order form.

10.2 By SchoolWeb

We may suspend or terminate your access to the Service with written notice if:

• You commit a material breach of these Terms that is not remedied within 14 days of notice
• Your account has a persistent payment default
• Continued operation would expose us or others to legal or regulatory risk

We will provide reasonable notice before termination except where immediate suspension is required to protect the security or integrity of the platform.

10.3 After Termination

• Data retention and deletion following termination are governed by our Privacy Policy
• Schools are responsible for exporting any records they require before the deletion window closes
• Provisions that by their nature should survive termination will continue to apply, including clauses on content ownership, liability, governing law, and indemnification

11. Disclaimers

Except as required by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

Nothing in these Terms is intended to exclude, restrict, or modify any rights or guarantees that cannot be excluded under the Competition and Consumer Act 2010 (Cth) or other applicable Australian Consumer Law.

12. Limitation of Liability

To the maximum extent permitted by law, SchoolWeb and its directors, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with the Service or these Terms.

Our aggregate liability to you for all claims arising from or relating to the Service is limited to the total fees paid by your school to SchoolWeb in the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply to the extent that liability cannot be excluded or limited under applicable law, including liability under the Australian Consumer Law.

13. Indemnification

Your school agrees to indemnify, defend, and hold harmless Sky Network Pty Ltd, its officers, employees, and agents from and against any third-party claims, liabilities, losses, and expenses (including reasonable legal fees) arising from:

• Your school's use of the Service in violation of these Terms or applicable law
• Content uploaded or published by your school that infringes the rights of a third party
• Your school's failure to obtain required consents from students, parents, or staff

This indemnity does not apply to the extent that the claim arises from our own breach, negligence, or wilful misconduct.

14. Changes to Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, or our operations. For material changes, we will provide at least 30 days' notice by email or in-platform notification before the updated Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If a material change is unacceptable to your school, you may terminate the subscription in accordance with clause 10.1 before the change takes effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Western Australia, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Western Australia for resolution of disputes arising from these Terms.

Before commencing any formal legal proceedings, each party agrees to attempt to resolve disputes informally by contacting the other party and engaging in good-faith negotiation for at least 30 days.

16. Accessibility

We are committed to making SchoolWeb accessible to all users, including people with disabilities. Our accessibility goals include:

• Working toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA for core platform features
• Supporting compliance with the Disability Discrimination Act 1992 (Cth) as it applies to digital services provided to schools
• Incorporating accessible design practices into new features and improvements on an ongoing basis

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Security Policy, and any applicable order form or service agreement, constitute the entire agreement between the parties regarding the Service
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect
• No Waiver: Failure by either party to enforce any provision of these Terms does not constitute a waiver of future enforcement of that provision
• Assignment: Your school may not assign or transfer its rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
• Notices: Notices under these Terms must be in writing and delivered by email to the addresses provided during account registration, or as otherwise notified
• Force Majeure: Neither party will be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, internet or telecommunications failures, third-party service provider outages, government actions, or other force majeure events. The affected party must notify the other party promptly and use reasonable efforts to mitigate the impact
